Terms of Service
These terms are the agreement between WaClock ("WaClock", "we", "us"), and the business that creates a WaClock account ("you"). WaClock is sold to businesses only: by creating an account you confirm you are acting for a business, not as a consumer, and you accept these terms.
The service
WaClock lets your workers clock in and out on WhatsApp or with a personal clock link, and turns those punches into timesheets with overtime calculated under federal rules or the rules of the state you select. It can also send you and your managers alerts and a daily summary by WhatsApp or email. We may improve and change the service over time. If we remove a feature you depend on, we will tell you in advance.
Your account
- You must be at least 18 and able to bind the business you sign up for.
- If you create the account in a WhatsApp conversation with the WaClock number, tapping I agree there has the same effect as Create account on the website.
- Keep your sign-in details secret. You are responsible for what happens under your account, including the managers you invite.
- Sign-in links sent to your WhatsApp work once and expire after 15 minutes. Anyone holding your unlocked phone can use them.
- Tell us right away at support@waclock.com if you suspect someone else has access.
Your workers
- Only add, or approve join requests from, people who work for you, using mobile numbers they gave you for work.
- Tell your workers that you use WaClock to record their time. Workers start the WhatsApp chat themselves by messaging the WaClock number, as described in the WhatsApp Terms. Do not message the number on their behalf, and do not make WhatsApp a condition of employment: workers who do not use WhatsApp, or do not want its messages, can use their clock link.
- Only list WhatsApp numbers and email addresses for alerts and the daily summary of people who agreed to receive them, and remove anyone who asks.
- You are responsible for having a lawful basis to record your workers' time and for giving them any notices your state requires about how their time is recorded.
Payroll and wage laws
WaClock calculates hours and overtime from the punches it receives and the state you select. You remain responsible for reviewing timesheets, correcting missed or wrong punches, paying your workers correctly and meeting the wage-and-hour, meal-break and record-keeping laws that apply to you. WaClock is not a payroll provider and does not give legal advice.
The AI assistant on our website
The chat assistant on waclock.com is an AI, not a person. Its answers are general information about WaClock. They may be incomplete or wrong, and they are not legal, tax, payroll or employment advice. An answer from the assistant does not change these terms, our prices or your account. Do not use its answers to make or support a decision about any person's hiring, pay, hours, benefits or other terms of work. Check anything important with us at support@waclock.com or with your own adviser, and do not type passwords or sensitive personal information into the chat. The Privacy Policy explains how chat messages are handled.
Trial, fees and billing
- New accounts start with a free trial. No card is needed to start it.
- After the trial, the service is billed monthly in advance at the prices shown on waclock.com and in the app when you subscribe. Prices exclude taxes, which are added where required.
- After the trial, the subscription renews automatically each month until you cancel.
- Payments are processed by Stripe. If a payment fails, we will email you. If it is still unpaid after a reasonable period, new punches stop being recorded until the account is paid. Your existing records stay available to view and export.
- You can cancel at any time from Billing in the app. Cancellation takes effect at the end of the billing period you already paid for, and we do not refund partial months.
- We will give you at least 30 days' notice by email before a price change applies to you.
Acceptable use
You agree not to:
- use WaClock to send messages that are unsolicited, unlawful, harassing or unrelated to timekeeping;
- enter information you have no right to use, or punch on behalf of a worker;
- attempt to break, overload, probe or reverse engineer the service, or access another customer's data;
- resell the service without our written permission.
We may suspend accounts that break these rules, with notice where we reasonably can.
Your data
You own the data you and your workers put into WaClock. You give us permission to host, process and display it only to provide and support the service, as described in the Privacy Policy. You can export your timesheets at any time, including after your subscription ends. Because wage laws require you to keep time records for several years, export them before you ask us to delete your account.
For your workers' personal information, we act as your service provider. A Data Processing Addendum is available on request from support@waclock.com. The companies that help us run the service are listed on the Subprocessors page.
Availability
We work to keep WaClock running at all times, but we do not guarantee uninterrupted service. WhatsApp delivery depends on Meta and on each phone's internet connection, which we do not control. If a punch does not get a confirmation reply, workers should tell their manager so the time can be corrected.
Disclaimers
Limitation of liability
To the extent the law allows, neither side is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Our total liability for any claim relating to WaClock is limited to the fees you paid us in the 12 months before the event that caused the claim.
Indemnity
You will defend and indemnify WaClock against third-party claims that arise from your workers' data you had no right to use, from your messages, or from your breach of these terms or of employment law.
Ending the agreement
To close your account, email support@waclock.com. We export your data on request and delete it as the Privacy Policy describes. We can end the agreement with 30 days' notice, or right away if you seriously break these terms. The sections on fees owed, your data, disclaimers, limitation of liability and indemnity survive the end of the agreement.
Law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, except that either side may seek urgent relief in any court that has jurisdiction.
Changes to these terms
We may update these terms. We will post the new version here and, for significant changes, email account owners at least 30 days before they take effect. Using WaClock after that date means you accept the new terms.
